1. Agreement to Terms

By accessing or using MyHomebase ("the Service"), provided by Flying Gizmo LLC ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

MyHomebase is a comprehensive home management platform that helps homeowners organize, maintain, and manage their properties. The Service includes AI-powered features and provides tools for:

• Tracking home maintenance schedules and tasks
• Managing home-related expenses, budgets, and bills
• Storing and organizing home documents (warranties, receipts, contracts, insurance)
• Tracking home assets, appliances, and systems
• AI-powered document analysis, expense categorization, and maintenance recommendations
• Connecting with contractors and service providers
• Community features for neighborhood engagement
• Home health scoring and insights

3. User Accounts

When you create an account with us, you are responsible for:

• Providing accurate, complete, and current information during registration and while using the Service
• Maintaining the security and confidentiality of your login credentials
• All activities that occur under your account, whether or not you authorized them
• Immediately notifying us at admin@flyinggizmo.com if you become aware of any unauthorized access to or use of your account
• Ensuring that your use of the Service complies with all applicable laws and regulations

You may not create an account on behalf of another person without their permission, create multiple accounts for deceptive purposes, or share your account credentials with others.

4. Acceptable Use

You agree NOT to use the Service to:

• Violate any applicable federal, state, local, or international law or regulation
• Upload, post, or transmit any illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable content
• Harass, bully, intimidate, or threaten other users
• Impersonate or attempt to impersonate another person, entity, or another user's account
• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service
• Attempt to gain unauthorized access to any portion of the Service, other users' accounts, or any systems or networks connected to the Service
• Use any robot, spider, scraper, or other automated means to access the Service or extract data without our express written permission
• Introduce any viruses, trojan horses, worms, logic bombs, or other malicious code
• Use the Service for commercial solicitation, spam, or unauthorized advertising
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service

Violation of these rules may result in immediate suspension or termination of your account at our sole discretion, without prior notice or refund.

5. Intellectual Property

Our property: The Service — including all source code, software, design, graphics, user interface, logos, trademarks, trade names, and branding — is and will remain the exclusive property of Flying Gizmo LLC and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws of the United States and international jurisdictions. You may not copy, modify, distribute, sell, or lease any part of the Service or its content without our prior written consent.

Your property: You retain full ownership of all data and content you enter into or upload to the Service ("User Data"), including home information, financial records, documents, photos, and any other content you provide. We claim no ownership over your User Data.

6. User-Generated Content

The Service includes community features that allow you to post content visible to other users within the app (such as neighborhood posts, contractor reviews, and comments). By posting content in community areas, you:

• Grant Flying Gizmo LLC a non-exclusive, royalty-free, worldwide license to display, reproduce, and distribute that content within the Service for the purpose of operating the community features
• Represent and warrant that you own or have the right to post the content, and that it does not violate the rights of any third party
• Acknowledge that community posts are visible to other users within the app and should not contain sensitive personal information
• Agree not to post false, misleading, or defamatory reviews of contractors or service providers
• Agree not to post personally identifiable information of others without their consent

We reserve the right to remove any user-generated content that we determine, in our sole discretion, to be offensive, harmful, inaccurate, or in violation of these Terms — without prior notice. Community posts and reviews represent the views of individual users, not of Flying Gizmo LLC.

7. AI-Generated Content Disclaimer

The Service uses artificial intelligence ("AI") to provide features including, but not limited to, document analysis and categorization, expense categorization, maintenance schedule recommendations, home health assessments, contractor suggestions, and general home management insights. By using the Service, you acknowledge and agree that:

• AI-generated insights, recommendations, and analysis are provided for informational purposes only and do not constitute professional financial, legal, construction, home inspection, or any other form of professional advice
• AI output may contain errors, inaccuracies, or hallucinated information — you are solely responsible for verifying any AI-generated content before acting on it
• You should consult qualified professionals (licensed contractors, financial advisors, attorneys, home inspectors, engineers) for decisions that could affect your property, finances, health, or safety
• Flying Gizmo LLC is not liable for any damages, losses, costs, or injuries resulting from your reliance on AI-generated content
• AI processing of uploaded documents (receipts, statements, contracts) is best-effort extraction and may not capture all information accurately
• Maintenance schedule suggestions are general recommendations and may not account for your specific local conditions, climate, building codes, or manufacturer requirements

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. FLYING GIZMO LLC DOES NOT WARRANT THAT (A) THE SERVICE WILL FUNCTION UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (B) ANY ERRORS OR DEFECTS WILL BE CORRECTED; (C) THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (D) THE RESULTS OF USING THE SERVICE (INCLUDING ANY AI-GENERATED CONTENT) WILL BE ACCURATE, RELIABLE, OR MEET YOUR REQUIREMENTS.

9. Limitation of Liability

IN NO EVENT SHALL FLYING GIZMO LLC, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to, use of, or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service, including AI-generated content
• Unauthorized access, use, or alteration of your transmissions or content
• Any decisions or actions you take based on AI-generated suggestions, recommendations, or analysis
• Any inaccuracies in document processing, expense categorization, or maintenance scheduling

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF FLYING GIZMO LLC FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES YOU HAVE PAID TO FLYING GIZMO LLC IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

10. Indemnification

You agree to defend, indemnify, and hold harmless Flying Gizmo LLC and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to reasonable attorney's fees) arising from: (a) your use of and access to the Service; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including any intellectual property, property, or privacy right; (d) any claim that your User Content caused damage to a third party; or (e) your misuse of any AI-generated content or recommendations provided by the Service.

11. Termination

Termination by us: We may terminate or suspend your account immediately, without prior notice or liability, if you breach these Terms, engage in prohibited conduct, or for any other reason at our sole discretion. Upon termination, your right to use the Service will immediately cease.

Termination by you: You may delete your account at any time by using the self-service "Delete Account & All Data" option in Settings → Data & Privacy, or by contacting us at admin@flyinggizmo.com. Before deleting your account, we recommend exporting a copy of all your data using the "Export All My Data" button in Settings.

Effect of termination: Upon account deletion, all of your data — including personal information, home data, financial records, documents, and community posts — will be permanently purged from our systems within 30 days. Sections of these Terms that by their nature should survive termination (including but not limited to intellectual property, limitation of liability, indemnification, and dispute resolution) will continue to apply.

12. Pricing

MyHomebase is currently available free of charge during our launch period. We reserve the right to introduce paid subscription plans or premium features in the future. If and when pricing changes are introduced:

• We will provide at least 30 days' advance notice before any paid features take effect
• Users who signed up during the free launch period ("Early Adopters") will receive preferential treatment, which may include discounted pricing, extended free access, or grandfathered features
• You will never be charged without your explicit consent
• Pricing details will be clearly communicated via email and within the Service

13. Data Handling

Your privacy is important to us. Our collection, use, and protection of your data is governed by our Privacy Policy, which is incorporated into these Terms by reference. Key points include:

• You own your data. We do not claim ownership over any content you provide
• You can export all of your data at any time in JSON format via Settings → Data & Privacy
• You can delete your account and all associated data at any time
• We do not sell your personal information

14. Third-Party Services

The Service integrates with and relies upon third-party services to provide its functionality. The Service may also contain links to third-party websites or services that are not owned or controlled by Flying Gizmo LLC. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Flying Gizmo LLC shall not be responsible or liable for any damage or loss caused by or in connection with the use of any third-party websites or services.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Informal resolution: Before filing any formal dispute, you agree to first contact us at admin@flyinggizmo.com and attempt to resolve the dispute informally for at least 30 days. Most concerns can be resolved quickly through direct communication.

Binding arbitration: If a dispute cannot be resolved informally within 30 days, either party may pursue binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration shall take place in the State of Delaware or remotely, at the election of the party initiating the claim.

Class action waiver: You agree that any arbitration or legal proceeding shall be conducted on an individual basis only, and shall not be consolidated with any other proceedings or brought as a class action, collective action, or representative action.

16. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions of these Terms will remain in full force and effect. The invalid or unenforceable provision will be modified to the minimum extent necessary to make it valid and enforceable, while preserving the original intent of the provision as closely as possible.

17. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice via email to the address associated with your account before the new terms take effect. Non-material changes may be made at any time and will be reflected by updating the "Last updated" date at the top of this page. By continuing to access or use the Service after revised Terms become effective, you agree to be bound by the updated Terms. If you do not agree to the new Terms, you should stop using the Service and delete your account.
